Please read these Terms of Service ("Terms", "Agreement") carefully before using the CheapRout platform ("Service", "Platform", "we", "us", "our"). By accessing or using CheapRout, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

1. Description of Service

CheapRout is an AI cost optimization and routing platform that intelligently routes user prompts to third-party artificial intelligence providers including but not limited to Groq, DeepSeek, OpenAI, Anthropic, and Google Gemini. CheapRout acts solely as an intermediary routing layer and does not own, operate, or control any underlying AI models.

2. Acceptance of Terms

By creating an account, accessing, or using the Service in any way, you confirm that you are at least 18 years of age, have the legal capacity to enter into this Agreement, and agree to comply with and be bound by these Terms and all applicable laws and regulations.

3. Disclaimer of Warranties

THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR COURSE OF PERFORMANCE.

CheapRout does not warrant that: (a) the Service will function uninterrupted, secure, or available at any particular time or location; (b) any errors or defects will be corrected; (c) the Service is free of viruses or other harmful components; (d) the results of using the Service will meet your requirements; or (e) AI-generated responses will be accurate, complete, reliable, or suitable for any particular purpose.

AI-generated content is produced by third-party providers and CheapRout makes no representations regarding the accuracy, legality, or appropriateness of such content. You are solely responsible for evaluating and verifying any AI-generated output before relying on it.

4. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL CHEAPROUT, ITS OWNERS, DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, SUPPLIERS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

Loss of profits, revenue, data, goodwill, or other intangible losses
Unauthorized access to or alteration of your transmissions or data
Statements or conduct of any third party on the Service
Costs incurred through third-party AI providers (API charges, billing errors, rate limits)
Interruption or cessation of third-party AI provider services
Any bugs, viruses, trojan horses, or similar that may be transmitted through the Service
Any errors or omissions in AI-generated content
Any loss or damage of any kind incurred as a result of your use of AI-generated content

IN NO EVENT SHALL CHEAPROUT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICE EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID TOCHEAPROUT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS (USD $100).

5. Third-Party API Keys and Provider Responsibility

When you provide API keys for third-party AI providers ("Provider Keys"), you acknowledge and agree that:

You are solely responsible for all charges, costs, and fees incurred through your Provider Keys
CheapRout is not responsible for any billing errors, unexpected charges, or credit exhaustion by third-party providers
You must comply with the terms of service of each third-party AI provider whose API keys you use
CheapRout stores a masked preview of your API keys for identification purposes. You are responsible for the security of your API keys and should revoke and replace any keys you believe have been compromised
CheapRout will never use your Provider Keys for any purpose other than routing your own requests

6. Acceptable Use Policy

You agree not to use the Service to:

Generate, distribute, or facilitate illegal content of any kind
Violate any applicable local, state, national, or international law or regulation
Infringe upon the intellectual property rights of any party
Transmit any unsolicited or unauthorized advertising or promotional material
Attempt to gain unauthorized access to any portion of the Service or its related systems
Engage in any conduct that restricts or inhibits anyone's use or enjoyment of the Service
Use the Service to develop a competing product or service without express written permission
Reverse engineer, decompile, or disassemble any portion of the Service
Circumvent, disable, or otherwise interfere with security-related features of the Service

CheapRout reserves the right to terminate your access immediately and without notice for any violation of this Acceptable Use Policy.

7. Intellectual Property

The Service, including its original content, features, functionality, routing algorithms, caching systems, user interface design, and all associated intellectual property, is and shall remain the exclusive property of CheapRout and its owner. The CheapRout name, logo, tagline ("Use AI at 80% less cost"), and all associated brand elements are proprietary and may not be used without express written permission.

You retain ownership of all content and data you submit to the Service. By submitting content, you grant CheapRout a limited, non-exclusive, royalty-free license to process and route your content solely for the purpose of providing the Service to you.

8. Subscriptions and Billing

CheapRout offers Free, Pro, and Team subscription tiers. Paid subscriptions are billed on a monthly basis. All fees are non-refundable except where required by applicable law.CheapRout reserves the right to modify pricing with 30 days' notice to existing subscribers. Failure to pay may result in suspension or termination of your account.

Subscription fees cover access to the CheapRout routing platform only. Third-party AI provider costs (when using your own API keys) are separate and are your sole responsibility.

9. Indemnification

You agree to defend, indemnify, and hold harmless CheapRout and its owner, employees, contractors, agents, officers, and directors from and against any and all claims, damages, obligations, losses, liabilities, costs, or debt, and expenses (including but not limited to attorney's fees) arising from: (a) your use of and access to the Service; (b) your violation of any term of these Terms; (c) your violation of any third-party right, including without limitation any copyright, property, or privacy right; or (d) any claim that your use of the Service caused damage to a third party.

10. Termination

CheapRout may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms. Upon termination, your right to use the Service will immediately cease. All provisions of these Terms which by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnity, and limitations of liability.

11. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the United States, without regard to its conflict of law provisions. Any disputes arising under these Terms shall first be attempted to be resolved through good-faith negotiation. If unresolved, disputes shall be submitted to binding arbitration in accordance with the rules of the American Arbitration Association. You waive any right to a jury trial or to participate in a class action lawsuit.

12. Changes to Terms

CheapRout reserves the right to modify these Terms at any time. We will provide notice of significant changes by updating the "Last Updated" date at the top of this page. Your continued use of the Service after any changes constitutes your acceptance of the new Terms.
